1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User") and COMPANY.LEGAL ("we", "us", or "our"), a platform operated from Dublin, Ireland. By accessing or using our platform at company.legal, you agree to be bound by these Terms. If you do not agree, you must not use our services.

2. THE SERVICE

COMPANY.LEGAL provides a company management platform for Irish founders, including but not limited to:

  • → Company incorporation assistance and document management
  • → Boardroom management — meetings, resolutions, and voting
  • → Cap table management and share issuance tracking
  • → Contract drafting, negotiation, and eSign execution
  • → CRO and ROS compliance tooling (B1 returns, iXBRL filings)
  • → Investor portal and data room functionality
  • → Financial sync with connected payment providers
  • → Biometric identity and cryptographic audit trails

We are a technology platform. We are not a law firm, accountancy firm, or regulated financial services provider. Nothing on this platform constitutes legal, financial, or tax advice. You remain solely responsible for ensuring compliance with all applicable Irish and EU law.

3. ELIGIBILITY

You must be at least 18 years of age and have the legal capacity to enter into contracts under Irish law to use this platform. By using COMPANY.LEGAL, you represent and warrant that you meet these requirements. Access to certain features is restricted by your assigned role (OWNER, ADMIN, MEMBER, INVESTOR, or VIEWER) within your organisation on the platform.

4. ACCOUNTS AND SECURITY

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:

  • → Provide accurate and complete information when registering
  • → Keep your biometric credentials and passkeys secure
  • → Notify us immediately of any unauthorised access to your account
  • → Not share your account with any third party

5. ELECTRONIC SIGNATURES

Our eSign functionality is designed to comply with eIDAS Regulation (EU) No 910/2014 as retained in Irish law. Electronic signatures applied through COMPANY.LEGAL are intended to have legal effect equivalent to handwritten signatures where permitted by applicable law. You are responsible for ensuring that electronic signatures are appropriate for your specific use case and that counterparties have consented to their use. We make no warranty that any particular electronic signature will be accepted by any specific court, regulator, or counterparty.

6. MULTI-TENANCY AND DATA ISOLATION

Each organisation on COMPANY.LEGAL operates as an isolated tenant. We implement technical and organisational measures to prevent cross-tenant data access. However, you acknowledge that you are using a shared infrastructure platform and that absolute isolation cannot be guaranteed in all circumstances. You are solely responsible for configuring access controls and permissions within your organisation.

7. INTELLECTUAL PROPERTY

All content, trademarks, software, and intellectual property on this platform belong to COMPANY.LEGAL or its licensors. Your use of the platform does not grant you any rights to our intellectual property. You retain ownership of all data, documents, and content you upload or create through the platform. By uploading content, you grant us a limited licence to process, store, and display it for the purpose of providing the service.

8. PROHIBITED USES

You must not use COMPANY.LEGAL to:

  • → Violate any applicable Irish, EU, or international law
  • → Commit fraud, money laundering, or any criminal activity
  • → Upload malicious code, viruses, or harmful content
  • → Attempt to gain unauthorised access to another tenant's data
  • → Use automated scraping or data harvesting tools
  • → Impersonate any person, company, or authority

9. LIMITATION OF LIABILITY

To the maximum extent permitted by Irish law, COMPANY.LEGAL and its directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform. Our total aggregate liability to you shall not exceed the amount you paid us in the twelve months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Irish law.

10. INDEMNIFICATION

You agree to indemnify and hold harmless COMPANY.LEGAL and its officers, directors, employees, and agents from any claims, damages, losses, or costs (including reasonable legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

11. SERVICE AVAILABILITY

We strive for maximum uptime but do not guarantee uninterrupted access to the platform. We may suspend or terminate service for maintenance, security incidents, or in response to legal requirements. We will endeavour to provide reasonable notice of planned maintenance.

12. TERMINATION

Either party may terminate your account at any time. We reserve the right to suspend or terminate access immediately if you breach these Terms. Upon termination, you may request an export of your data within 30 days. After 30 days, we may delete your data in accordance with our retention policies.

13. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the Irish courts.

14. CHANGES TO TERMS

We may update these Terms from time to time. We will notify registered users of material changes via email or in-platform notification. Continued use of the platform after changes constitutes acceptance of the updated Terms.
